iOwnDigital Digital Content Purchase Agreement

In the event of a conflict between the English and Japanese versions, the Japanese version shall prevail.
§1. 本規約について
1. About This Agreement
本購入規約（以下「本規約」）は、日本国法人 iOwnDigital合同会社（〒150-0031 東京都渋谷区桜丘町15-14 富士ビル40 7F、以下「iOwnDigital」、「当社」）と、iowndigital.comプラットフォームで購入を行う個人（以下「バイヤー」、「お客様」）との間の法的拘束力を有する契約です。
This Buyer Terms of Sale is a legally binding contract between iOwnDigital合同会社 and the individual completing a purchase on iowndigital.com. By completing a purchase, you confirm you have read, understood, and agree to be bound by this Agreement.
§2. 定義

- プラットフォーム / Platform
iowndigital.comウェブサイトおよび関連サービス / The iowndigital.com website and associated services - コンテンツ / Content
プラットフォームで購入可能な映像作品、ライブ録音、その他のデジタルメディア / Audio-visual recordings, live performances, and other digital media available for purchase - OD
iOwnDigital Original Download — 個別購入可能なコンテンツの単位 / A unit of Content available for individual purchase - ベンダー / Vendor
コンテンツを提供したアーティスト、バンド、権利保有者 / The artist, band, management company, or rights-holding entity that supplied the Content - 購入 / Purchase
OD取得のための取引 / A transaction by which you acquire a license to an OD - ダウンロードファイル / Download File
購入後に提供されるダウンロード可能なファイル / The downloadable file made available after Purchase
§3. 購入の性質
3. Nature of Purchase
3.1 個人使用ライセンス / Personal License
iOwnDigitalは、著作物の特定のデジタルコピーを個人的・非商業的目的で所持・使用する永続的・非排他的・譲渡不可ライセンスを付与します。
iOwnDigital grants you a perpetual, non-exclusive, non-transferable license to possess and use a specific digital copy of the Work for personal, non-commercial purposes.
3.2 購入により取得できる権利 / What You Are Acquiring
- 個人デバイスへのダウンロードと永続保存 / Download and retain permanently on personal devices
- 個人用バックアップの作成 / Make personal backup copies
- iOwnDigitalウェブプレーヤーでのストリーミング / Stream through the iOwnDigital web player
- 非公開・非商業的な視聴 / Enjoy in a private, non-commercial setting
§4. 支払条件
4. Payment Terms
4.1 価格 / Price
すべての価格は日本円（JPY）で表示・請求されます。消費税（JCT）10%が含まれており、チェックアウト時に個別に表示されます。
All prices are displayed and charged in Japanese Yen (JPY). Prices are inclusive of 10% JCT, separately itemised at checkout.
4.2 請求タイミング / Charge Timing
購入確認時に即時決済されます。分割払い・後払いは利用できません。
Payment is charged immediately at Purchase confirmation. No instalment or deferred payment options are available.
§5. 納品条件
5. Delivery Terms
ODはデジタル手段のみで納品されます。決済確認後、購入したODへのアクセスはiowndigital.comのアカウントライブラリで即時利用可能になります。ダウンロードリンクまたはストリーミングリンクがアカウントに提供された時点で納品完了とみなします。
iOwnDigital delivers ODs exclusively by digital means. Upon payment confirmation, access is made available immediately in your account library. Delivery is deemed complete when access to the Download File or streaming link is made available, regardless of when you initiate the download.
§6. 消費者の権利 — 消費者契約法
6. Consumer Rights — Consumer Contract Act (消費者契約法)
6.1 適用範囲 / Applicability
本第6条は、個人として購入するバイヤー（事業者を除く）に適用されます。
This Section applies to Buyers who are individual consumers (as opposed to businesses) purchasing for personal use.
6.2 納品前のキャンセル権 / Right to Cancel Before Delivery
消費者契約法および関連する日本法に基づき、お客様は納品開始前に購入をキャンセルし全額払い戻しを受ける権利を有します。本規約上の「納品開始」とは、ダウンロードリンクまたはストリーミングアクセスがアカウントに提供された時点を指します。
You have the right to cancel your Purchase and receive a full refund provided cancellation occurs before delivery has commenced. Delivery commences when download or streaming access is provided to your account.
6.3 取消権の放棄 / Waiver of Right to Cancel
お客様は購入チェックアウト時に、ダウンロードリンクの提供により消費者契約法に基づく取消権を放棄することに明示的に同意します。この同意はチェックアウト画面でのチェックボックス確認により記録されます。
At checkout, you explicitly agree that delivery of the download link constitutes waiver of your right of cancellation under the Consumer Contract Act. This consent is recorded by checkbox confirmation at the checkout screen.
§7. キャンセルおよび返金ポリシー
7. Cancellation and Refund Policy
7.1 納品後の返金不可 / No Refund After Delivery
納品開始後は、ダウンロードファイルを再生・閲覧・保持したかどうかにかかわらず、返金は行いません。
Once delivery has commenced, no refund will be issued, regardless of whether you have played, viewed, or retained the Downloaded File.
7.2 納品前のキャンセル / Cancellation Before Delivery
納品前にキャンセルを希望する場合は、support@iowndigital.com まで速やかにご連絡ください。
To cancel before delivery, contact support@iowndigital.com as promptly as possible.
§8. 権利管理情報
8. Rights Management Information
8.1 埋め込み識別子 / Embedded Identifier
お客様に納品される各ダウンロードファイルには、お客様のアカウントおよび特定の取引に関連付けられた固有の識別子が含まれています。この識別子は不可視であり、映像・音声の品質に影響しません。コンテンツの不正配布源の特定のみを目的として使用されます。
Each Download File contains a unique identifier associated with your account and transaction. It is invisible, does not affect quality, and is used solely to identify the source of any unauthorised distribution.
8.2 法的根拠 / Legal Basis
本識別子は日本著作権法第113条（権利管理情報）、WIPOコピーライト条約第12条、米国DMCA第1202条に基づく権利管理情報を構成します。識別子の除去・改変は上記各法律に違反します。
§9. 使用制限
9. Restrictions on Use
お客様は以下を行わないことに同意します：
- ODの第三者への複製・配布・販売・サブライセンス
- ウェブサイト・ファイル共有サービス・SNSへのODのアップロード・送信
- ODの商業的制作・広告・放送・公演への使用
- 権利管理情報の除去・改変・回避
- リバースエンジニアリングまたはDRM回避ツールの使用
You agree not to: reproduce/distribute/sell ODs to third parties; upload to any public platform; use commercially; strip Rights Management Information; reverse-engineer or circumvent any technical protection measures.
§10. アカウント
10. Account
購入およびコンテンツへのアクセスには登録アカウントが必要です。アカウント認証情報の機密保持およびアカウント下での全活動についてお客様が責任を負います。
A registered account is required to make Purchases and access Content. You are responsible for maintaining confidentiality of your credentials.
§11. 知的財産
11. Intellectual Property
各ODの知的財産権はベンダーに帰属します。iOwnDigitalはコンテンツの知的財産権を所有しません。本規約のいかなる条項も、知的財産権をiOwnDigitalまたはベンダーからお客様に移転しません。
All intellectual property rights in each OD remain with the respective Vendor. iOwnDigital does not own intellectual property in any Content. Nothing in this Agreement transfers any intellectual property rights to you.
§12. 責任の制限
12. Limitation of Liability
適用法が許容する最大限の範囲で、iOwnDigitalの責任総額は、当該請求に関連するODについてお客様が支払った合計額を超えません。間接的・付随的・特別・結果的損害については責任を負いません。
To the maximum extent permitted by law, iOwnDigital's total liability shall not exceed the amount paid for the OD to which the claim relates. We are not liable for indirect, incidental, special, or consequential loss.
§13. 補償
13. Indemnification
お客様は本規約違反、ODの不正配布、権利管理情報の除去、または適用法違反から生じる請求・損失・損害・費用（合理的な弁護士費用を含む）からiOwnDigitalを補償・防御し、免責します。
You agree to indemnify and hold harmless iOwnDigital from any claim arising from your breach of this Agreement, unauthorised distribution of ODs, removal of Rights Management Information, or violation of applicable law.
§14. サードパーティサービス
14. Third-Party Services
本プラットフォームは決済処理にStripe, Inc.を使用しています。Stripeサービスの使用はStripeの利用規約およびプライバシーポリシーに従います。
The Platform uses Stripe, Inc. for payment processing. Your use of Stripe is subject to Stripe's terms of service and privacy policy.
§15. 規約の変更
15. Amendments
重要な変更はメールおよびプラットフォーム上の通知でお知らせします。変更後もプラットフォームを継続使用した場合は改訂後の規約への同意とみなします。
Material changes will be notified by email and platform notice. Continued use after the effective date constitutes acceptance.
§16. 可分性
16. Severability
本規約のいずれかの条項が無効・違法・執行不能と判断された場合、当該条項は必要最小限の範囲で制限または削除され、残りの条項は引き続き完全な効力を有します。
§17. 完全合意
17. Entire Agreement
本規約は、iOwnDigitalプライバシーポリシーおよびクッキーポリシーとともに、対象事項に関するお客様とiOwnDigitalとの完全な合意を構成します。
§18. 準拠法および紛争解決
18. Governing Law and Dispute Resolution
18.1 準拠法 / Governing Law
本規約は日本法に準拠し、日本法に従って解釈されます。
This Agreement is governed by and construed in accordance with the laws of Japan.
18.2 管轄裁判所 / Jurisdiction
本規約に関するすべての紛争は、第一審として東京地方裁判所の専属的管轄に服します（消費者保護法の強行規定が適用される場合を除く）。
Disputes shall be subject to the exclusive jurisdiction of the Tokyo District Court as court of first instance, except as required by mandatory consumer protection law in your jurisdiction.
